圖一與圖二分別為Lonza Group與Lofo High Tech Film之Corporate Tree關係,由此二圖可發現,Delphion在此兩公司關係(母子)處理上並不完整。推敲原因,一來可能是因為Lofo High Tech Film專利佈局能量不高或是規模尚小(知名度低),二來可能是歐洲公司,在美國佈局不深。當然此為推估,需要進一步探討兩公司歷史與過去股權轉移關係。
表一為LONZA GROUP AG集團結構關係。若從另一個技巧推敲Lonza公司結構,圖三為以Lonza查詢Corporate Tree結果,內容主要包括表二項目。對照表一與表二與外部商業資訊,應可進一步取得真實集團面貌。
表三為Lofo High Tech Film全球專利彙整結果,表四為Lonza Group在美國所核准之673件專利Derwent Class – main 統計前十名結果,上述調查軟體使用Delphion(http://www.delphion.com/),時間到2006年6月8日止。
最後心得是,新光合纖藉由併購取得Lofo High Tech Film可能是著眼在設備、製程技術與現有產品線上,對於核心技術著墨應不大。此外,取得Lofo後,新光合纖與Lonza Group關係值得進一步觀察,因為若有Lonza Group支援,那麼氣勢可能會大一些。(1001字)
